Mineflow Terms of Service

1. Acceptance

These Terms of Service govern access to and use of mineflow.ai, Mineflow's web applications, APIs, hosted datasets, search tools, maps, visualizations, alerts, exports, and related services (the "Service"). By creating an account, accessing the Service, uploading data, using an invitation, or completing a Stripe checkout or other order form that references these Terms, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent.

If you do not agree to these Terms, do not use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization.

2. Service and Subscription Scope

Mineflow provides software for mineral exploration workflows, including public and regulatory document search, project and company context, spatial alerts, extracted drilling and surface-data visualization, map and 3D review, georeferenced image overlays, public raster browsing, and export of available data and images.

A subscription gives you the access described in the applicable checkout page, payment link, quote, order form, or written agreement. Unless a separate written agreement says otherwise, a self-serve Mineflow Search Individual subscription is for one named user only, is limited to public-data workflows, and does not include ingestion, indexing, hosting, or analysis of your internal or proprietary datasets.

Named-user accounts are for the individual assigned to the subscription. You may not share, pool, transfer, or use an account as a shared team login.

3. Billing, Renewal, and Cancellation

Paid subscriptions are billed through Stripe or another payment process we approve. The price, billing interval, currency, and included access are shown at checkout or in the applicable order form. By purchasing a subscription, you authorize recurring charges for the selected plan until the subscription is canceled or otherwise terminated.

Unless a separate written agreement says otherwise, monthly subscriptions renew automatically each month. You may cancel a self-serve subscription through the billing flow made available by Mineflow or by contacting ryan@mineflow.ai. Cancellation takes effect at the end of the then-current paid billing period unless we state otherwise. Fees already paid are non-refundable except where required by law or expressly agreed by Mineflow.

If payment fails, we may suspend, downgrade, or terminate access after reasonable notice or as permitted by Stripe's billing flow.

4. Limited License and Restrictions

Subject to these Terms and your paid subscription scope, Mineflow grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. You may use exports, alerts, search results, visualizations, georeferenced image overlays, and other materials made available through the Service ("Output") internally for your business purposes, subject to these Terms and any source-specific restrictions for third-party data.

You may not:

  • reverse engineer, decompile, disassemble, copy, rent, lease, loan, transfer, resell, sublicense, or create derivative works of the Service;
  • share credentials or permit anyone other than the authorized named user to access a named-user account;
  • circumvent, disable, or interfere with security, rate limits, access controls, or technical protections;
  • scrape, bulk download, mirror, or exfiltrate Mineflow-hosted datasets, map tiles, search results, model outputs, or derived data except through normal product exports made available in the Service;
  • use the Service or Output to build, train, fine-tune, benchmark, or evaluate a competing product, foundation model, LLM, computer-vision model, geological model, or data product;
  • publish, redistribute, sublicense, or externally commercialize Mineflow-hosted data, Output, reports, screenshots, figures, tables, or visualizations without our prior written permission, except as expressly allowed in a separate written agreement;
  • upload unlawful, infringing, harmful, malicious, or unauthorized content; or
  • permit a third party to do any of the above.

5. Customer Data and Output

You retain ownership of non-public data, content, inputs, geometries, annotations, saved searches, watch areas, and other information that you upload, submit, or make available through your account ("Customer Data"). You grant Mineflow the rights needed to provide, secure, support, improve, and operate the Service, including processing Customer Data and generating aggregated or non-identifying analytics.

Except for Customer Data embodied in Output, Mineflow retains all rights in the Service, software, models, algorithms, workflows, designs, databases, and underlying technology. To the extent Output reflects public or licensed third-party source materials, rights in those source materials remain with their respective owners and may be subject to source-specific restrictions.

6. Confidentiality

Each party may receive non-public information from the other party. The receiving party will use the disclosing party's confidential information only to perform or receive the Service, will protect it using reasonable care, and will not disclose it except to personnel, contractors, or service providers who need access and are bound by confidentiality obligations, or as required by law.

7. Warranty Disclaimer

The Service and all Output are provided "as is" and "with all faults." Mineflow does not warrant that the Service will be uninterrupted, error-free, current, complete, or accurate. Public and regulatory source materials may be incomplete, delayed, misclassified, or inaccurate, and extraction, georeferencing, search, alerting, visualization, and export features may contain errors.

Mineflow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quality, accuracy, and reliance. You are responsible for evaluating Output, applying professional judgment, and determining whether human review or independent verification is required. The Service is not a sole source of truth and is not a substitute for professional advice.

8. Limitation of Liability

To the maximum extent permitted by law, Mineflow will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, business interruption, or similar damages, even if advised of the possibility of those damages.

To the maximum extent permitted by law, Mineflow's total liability arising out of or relating to the Service or these Terms will not exceed the fees paid by you to Mineflow for the Service during the one month before the event giving rise to the claim.

9. Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay, create security or legal risk, misuse the Service, or use the Service outside your subscription scope. Upon termination, you must stop using the Service. Sections intended by their nature to survive will survive, including restrictions, payment obligations, confidentiality, ownership, disclaimers, limitations of liability, and governing law.

10. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes become effective when posted or otherwise communicated. Continued use after changes take effect means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, USA. Disputes will be heard exclusively in the state or federal courts located in San Francisco County, California.
